Terms of Service

Agreement: These Terms govern your use of the Jasmine Lantern service ("Lantern"). By accessing or using Lantern, you agree to these Terms. If you are a school/district, these Terms work together with your contract (e.g., Order Form, NDPA/DPA). If there is a conflict, your signed contract controls for school use.

1. The Service

Lantern is a voice AI assistant for K-12 that answers common questions, routes calls, and supports after-hours/attendance workflows via phone and messaging.

Not for emergencies: Lantern is not a replacement for 911 or emergency services and must not be used to request emergency assistance.

2. Accounts & Eligibility

You must provide accurate information, maintain the security of credentials, and ensure that only authorized staff access the admin console. You are responsible for the actions of users under your account.

3. Customer Responsibilities (School Use)

Lawful Use & Notices

You will use Lantern in accordance with law and your policies. You are responsible for any legally required call-recording notifications and posting of school communications policies.

Content & Instructions

You control the prompts, scripts, and routing rules. You are responsible for the content you provide and for verifying accuracy of any answers you instruct Lantern to give.

SMS/A2P Compliance

You will obtain any required consents; honor opt-outs; and avoid prohibited content. We will process STOP/HELP automatically.

Numbers & Routing

You are responsible for phone numbers you provision, call flows, and downstream staffing to receive routed calls/messages.

4. Data Ownership & Student Records

As between the parties, the school owns Customer and Student Data. You grant Jasmine a limited, non-exclusive license to process that data solely to provide and improve the service, meet legal obligations, and protect the service (e.g., security/abuse prevention). For student records, we act as a school official/service provider as defined by FERPA/SOPPA under your control.

5. Privacy, Security, and DPAs

Our Privacy Policy describes how we handle information. For schools, our NDPA/DPA (including security, breach response, sub-processor commitments, and data-return/deletion) forms part of the agreement. Contact [email protected] to obtain or countersign the NDPA.

6. Service Levels & Changes

We aim to keep Lantern available and continually improve it. We may update features, interfaces, or integrations from time to time. If we discontinue a material feature, we will provide reasonable notice and a path to retrieve your data.

7. Beta/Preview Features

We may offer beta features for evaluation. Betas are provided "as-is" without warranties and may be modified or withdrawn.

8. Fees & Taxes

If you purchase a paid plan, you agree to pay fees set out in the Order Form. Fees are non-refundable except as required by law or contract. Prices exclude taxes; you are responsible for applicable taxes.

9. Acceptable Use

You may not:

  • Use Lantern to send unlawful, harmful, or deceptive content
  • Attempt to probe, scan, or break security
  • Reverse engineer or create derivative works from the service
  • Resell or provide the service to third parties without permission

10. Intellectual Property & Feedback

Lantern and all related IP belong to TaxOffice AI Services LLC or its licensors. You grant us a royalty-free license to use feedback you provide to improve Lantern.

11. Confidentiality

Each party will protect the other's Confidential Information (including student records) and use it only as permitted by these Terms and applicable agreements.

12. Warranties & Disclaimers

Except as expressly provided in a signed agreement, the service is provided "as-is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, special, incidental, consequential, or punitive damages. Our total liability for all claims relating to the service will not exceed the amounts paid by you to us for the service in the 12 months before the claim arose (or $1,000 if no fees were paid). These limitations do not apply to violations of a party's IP rights or confidentiality obligations, or to indemnity obligations.

14. Indemnification

By You

You agree to defend and indemnify us from claims arising from your content, your unlawful use of the service, or your violation of these Terms/law.

By Us

We will defend and indemnify you against third-party claims that the service infringes IP rights, subject to customary exclusions and your prompt notice/cooperation.

15. Term, Suspension, Termination

These Terms continue while you use the service. We may suspend or terminate access for material breach or security risk. Upon termination, we will delete or return data per the NDPA/DPA and our Privacy Policy.

16. Governing Law; Venue

These Terms are governed by the laws of the State of Illinois, without regard to conflicts rules. Venue is the state or federal courts located in Cook County, Illinois.

17. Changes to These Terms

We may update these Terms; material changes will be posted with a new "Last updated" date. Continued use after changes means you accept the revised Terms.
